IP developed in joint R&D projects

One of my clients has entered into a joint R&D project with an industry partner. The R&D project has borne fruit in that they have developed an innovative new product, which is protected by valuable IP.
The R&D project is now nearing its end and my client is engaged in negotiations with the industry partner on rights to ownership and exploitation of the IP coming out of this joint R&D project.
In addition to the issues of ownership and rights to exploitation, what other issues should the parties ink into an agreement in order to forestall any disputes in the future?
